Terms of Use & EULA

This is a plain-language draft for Merchant of Record readiness. It is not a substitute for legal review. Source code remains under FSL-1.1-ALv2; this page covers use of the distributed macOS app binary.

1. Agreement

By downloading, installing, or using the codescribe application (“App”), you agree to these Terms. If you do not agree, do not use the App. The App is provided by VetCoders / LibraxisAI (“we”, “us”).

2. License to the binary

We grant you a personal, non-exclusive, non-transferable license to install and use the App on Apple Silicon Macs you own or control, for your own work, subject to these Terms and any purchase or evaluation terms shown at checkout.

  • You may not reverse engineer the App except where applicable law forbids that restriction.
  • You may not rent, lease, or sublicense the binary as a competing hosted product.
  • You may not remove copyright, trademark, or license notices from the App.

3. Source code is separate

The open/source-available repository is licensed under FSL-1.1-ALv2 (Functional Source License 1.1, Apache-2.0 future license). That license governs the source tree. These Terms govern the prebuilt binary and paid distribution channel. Building from source does not remove your obligation to respect third-party model/API terms you configure yourself.

4. Local-first product; your providers

Codescribe processes speech on your Mac by default. Optional features may send text or audio to providers you enable (for example AI formatting, agent tools, or cloud STT). Those providers have their own terms and privacy policies. You are responsible for keys, usage limits, and content you send them. See the Privacy Policy.

5. Acceptable use

You agree not to use the App to:

  • Violate law or third-party rights
  • Attempt unauthorized access to systems or data
  • Abuse, harass, or generate illegal content via agent features
  • Circumvent license checks, sandboxing, or security controls

6. No warranty

The App is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Dictation and AI output can be wrong; you must review results before relying on them for critical work.

7. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from use of the App. Our aggregate liability for a paid license is limited to the amount you paid us for the App in the twelve months before the claim. Nothing in these Terms limits rights that cannot be waived under mandatory consumer law (including EU consumer protections).

8. Updates and changes

We may release updates that change features or requirements (for example a newer macOS). We may update these Terms; the “Last updated” date at the top of this page will change. Continued use after material changes means you accept the revised Terms, except where mandatory law requires a different process.

9. Termination

These Terms apply until you stop using the App or we terminate access for material breach. Sections that by nature should survive (license restrictions, disclaimer, liability limits) survive termination.
